Terms & Conditions

These Terms & Conditions ("Terms") set out the rules for working with MapsTell, from a first quotation to the use of our licences, PersonalMaps, materials and certification. By ordering our products or services or using our website, you agree to these Terms.
Article 1. Definitions
- MapsTell: MapsTell Holding B.V., based in Amsterdam at Tt. Vasumweg 124, 1033 SH, the Netherlands, registered with the Dutch Chamber of Commerce (KvK) under number 59092351.
- Client: the individual or legal entity that MapsTell enters into an agreement with, or to whom MapsTell has issued a quotation.
- Guide: a client who has completed the MapsTell certification and is licensed to work with the MapsTell method.
- Parties: MapsTell and the client together.
- Agreement: any arrangement between MapsTell and the client, including licences, PersonalMaps, Floormaps and other materials, certification and access to the Guide Dashboard and GuideJourney.
- Products: all methods, maps, questionnaires, reports, materials, training content and software that MapsTell provides or makes available under an agreement, including The World of Difference.
Article 2. Applicability
- These terms and conditions apply to every quotation and agreement between MapsTell and the client, unless the parties have agreed otherwise in writing.
- Deviations from these terms are only valid if expressly agreed in writing.
- Any purchasing or other terms and conditions put forward by the client are explicitly rejected.
- Should any provision of these terms be found invalid, the remaining provisions continue to apply in full. The parties will replace the invalid provision with one that most closely reflects its original intent.
Article 3. Quotations
- Quotations issued by MapsTell are non-binding unless expressly stated otherwise.
- A quotation is valid for 30 days from the date of issue, unless a different period is specified.
- Prices stated in a quotation exclude VAT unless indicated otherwise.
- An agreement is formed once the client confirms the quotation or registration in writing or by email, or once MapsTell begins delivery with the client's consent.
Article 4. Pricing and payment
- Prices depend on the licence chosen, the number of PersonalMaps and the products or services ordered. This is specified in the quotation or registration confirmation.
- Certification fees are payable before the start of the certification programme, unless otherwise agreed.
- Invoices must be paid within 30 days of the invoice date, unless otherwise agreed.
- If payment is not made within the agreed period, the client is automatically in default and statutory commercial interest, as well as any reasonable collection costs, become due.
- For recurring licences, invoicing occurs [monthly / annually] unless otherwise agreed.
- MapsTell reserves the right to suspend delivery and access to the Guide Dashboard and GuideJourney as long as the client has not met its payment obligations.
Article 5. Duration and termination
- Licences are entered into for the period stated in the quotation. Unless otherwise agreed in writing, they are renewed automatically for the same period and may be terminated by either party with one (1) month's notice before the end of the current period.
- Termination must be provided in writing (email is sufficient).
- Upon termination, the client's right to use the Products ends, unless otherwise agreed.
- Products already delivered and costs already incurred up to the termination date remain payable.
Article 6. Certification
- The certification programme is delivered online and consists of self-paced e-learning and live virtual sessions.
- The client becomes a certified Guide after successfully completing the programme.
- Cancellation of a certification registration is free of charge up to [14] days before the start date. After that, [the full fee / X%] remains payable. Rescheduling to a later group is possible in consultation.
- Certification gives the Guide the right to work with the MapsTell method under the conditions of their licence. MapsTell may withdraw certification if a Guide seriously or repeatedly violates these terms or misrepresents the method.
Article 7. Intellectual property
- All intellectual property rights in the Products, including The World of Difference, the PersonalMap, the Floormap, the questionnaire, reports, texts, images and training materials, remain with MapsTell at all times.
- The client receives a non-exclusive, non-transferable right to use the Products for the purpose and duration agreed in the agreement.
- The client may not copy, modify, resell, sublicense or publish the Products, or develop derivative products based on them, without prior written permission from MapsTell.
- The client may not remove or change any copyright notices or branding on the Products.
Article 8. Performance of the agreement
- MapsTell will carry out the agreement to the best of its ability and in accordance with professional standards. The agreement constitutes a best-efforts obligation, not a guarantee of a specific result.
- MapsTell may engage third parties in carrying out the agreement.
- Guides deliver their own sessions and trainings independently. MapsTell is not a party to agreements between a Guide and their clients.
- Delivery times are indicative, unless the parties have expressly agreed on a strict deadline.
Article 9. Liability
- MapsTell's liability for any damage arising from or related to the performance of an agreement is limited to the amount invoiced to the client for the relevant agreement over the past 12 months.
- MapsTell is never liable for indirect damage, including consequential damage, loss of profit, missed savings or damage due to business interruption.
- MapsTell is not liable for the way in which a Guide or client applies the Products, nor for decisions made based on a PersonalMap or report.
- Any claim for damages lapses 12 months after the event from which the liability directly or indirectly arises.
Article 10. Complaints
- Complaints about delivered Products or services must be reported to MapsTell in writing as soon as possible, and in any case within 14 days of discovery.
- A complaint does not suspend the client's payment obligation.
- MapsTell will make reasonable efforts to resolve any complaint within a reasonable period.
Article 11. Confidentiality and personal data
- Both parties will keep confidential information received from the other party confidential, both during and after the agreement.
- This confidentiality obligation does not apply to information that was already public, or that must be disclosed under a legal obligation.
- MapsTell processes personal data in accordance with its Privacy Policy. Where a Guide processes personal data of participants using the Products, the parties will make further arrangements on this where required by law.
Article 12. Force majeure
- MapsTell is not obliged to fulfil any obligation if prevented from doing so by force majeure, including but not limited to supplier failures, internet or system outages, illness, or government measures.
- MapsTell's obligations are suspended during force majeure. If the force majeure situation lasts longer than 30 days, either party has the right to terminate the agreement in writing without owing compensation.
Article 13. Changes to these terms
MapsTell reserves the right to amend these terms. Existing clients will be informed of any changes in a timely manner, and changes apply to new agreements from the date of publication.
Article 14. Governing law and disputes
- All agreements between MapsTell and the client are exclusively governed by Dutch law.
- Disputes will be submitted to the competent court in Amsterdam, unless mandatory law provides otherwise.
